THE CRUNCHER GROUP, LLC (“FindCPA,” “we,” “us,” or “our”) operates the website FindCPA (the “Website”). These Terms of Use (the “Terms”) govern your access to and use of the Website.
By accessing or using the Website, you accept and agree to these Terms as a binding legal contract between you and FindCPA. We may update these Terms at any time by posting the revised version on the Website. Continued use after changes are posted constitutes acceptance of the updated Terms. If you do not agree to these Terms, you must immediately stop using the Website.
You must comply with all applicable laws, ordinances, and regulations in connection with your use of the Website.
The Website is intended for users 18 years of age and older. Access or use by anyone younger is not authorized.
These Terms grant you a limited, revocable, non-exclusive license to access and use the Website solely in accordance with these Terms.
1. Moderation
We have the right, but not the obligation, to moderate content (including postings, text, images, reviews, messages, account information, and any other communications) posted to, stored on, or transmitted through the Website, and to regulate user conduct. We may, in our sole discretion, screen, block, filter, remove, edit, or delete content, suspend or terminate accounts, or take any other enforcement action we deem appropriate, with or without notice.
Our decision to act or not act does not waive our right to take action in the future. Neither we nor our representatives will be liable for any moderation decisions or for failing to moderate.
Opinions, statements, reviews, and other content posted by users are solely those of the poster and do not represent FindCPA. We do not guarantee the accuracy or reliability of any user content.
We may limit, modify, suspend, or discontinue any part of the Website at any time without notice and without liability.
2. Content and Conduct
a. Content
We do not control and are not responsible for user content. You are solely responsible for any content you post or transmit and for your reliance on any content on the Website. You must perform your own due diligence regarding any information you find or any professional you contact through the Website.
You may not post content that is illegal, offensive, threatening, hateful, pornographic, fraudulent, malicious (including malware), that discloses another person’s confidential information, or that otherwise violates these Terms or applicable law.
By posting content, you grant FindCPA a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, copy, display, distribute, modify, and create derivative works from that content in connection with the Website and our business. You also grant us the right to enforce against unauthorized use of that content.
b. Conduct
You are solely responsible for your own conduct on the Website and for all activity that occurs under your account. You must conduct appropriate due diligence regarding any interactions with other users or professionals listed on the Website.
3. Accounts and Postings
You may create and maintain only one account, and you must create it personally and manually (no automated account creation). You may not create accounts for others, buy or sell accounts, or use another person’s account.
You may not use automated means to post content, circumvent technical restrictions (including CAPTCHAs), or engage in bulk or automated posting. Affiliate marketing and unauthorized third-party posting on your behalf are prohibited.
4. Unauthorized Access and Activities
The following are strictly prohibited:
– Collecting personal information of other users for any purpose without authorization
– Scraping, crawling, framing, or otherwise copying, aggregating, or creating derivative works from the Website or its content (except for general-purpose search engines that comply with our robots.txt file, which we may revoke at any time)
– Developing or using any application, tool, or service that accesses, interops with, or automates use of the Website without our prior written permission
– Reverse-engineering, decompiling, or attempting to extract source code from the Website
– Any activity that impairs the integrity, functionality, or quality of the Website or interferes with other users’ enjoyment of it
Any attempt to engage in or assist others in the above activities is also prohibited.
5. Interactions with Others
FindCPA is a directory platform that helps users find and connect with CPAs and accounting professionals. We are not a party to any communications, transactions, or relationships between you and any CPA, accounting professional, or other user. We make no representations or warranties about any professional listed on the Website, their qualifications, advice, or services.
You are solely responsible for evaluating and choosing any professional and for any interactions or agreements you enter into. We strongly recommend that you independently verify credentials, licenses, and suitability.
The Website may contain links to third-party websites. We are not responsible for those sites or their content. Your use of third-party sites is at your own risk and subject to their terms and privacy policies.
6. Fees
Certain features or services on the Website may require payment. You are responsible for any applicable fees and authorize us or our payment processor to charge your designated payment method. All fees are in U.S. dollars and are non-refundable except as required by law or as otherwise stated by us. We may refuse or cancel any transaction at our discretion.
7. Indemnification
You agree to indemnify and hold harmless FindCPA and its representatives from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) content you post or transmit; (b) activity under your account; (c) your use of or reliance on any content or professional listed on the Website; or (d) your violation of these Terms.
8. Disclaimers
THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DISCLAIM ALL WARRANTIES REGARDING SECURITY, RELIABILITY, ACCURACY, TIMELINESS, OR PERFORMANCE OF THE WEBSITE, AS WELL AS ANY TRANSACTIONS, ADVICE, OR INTERACTIONS THAT OCCUR AS A RESULT OF USING THE WEBSITE.
YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK.
9. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINDCPA AND ITS REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR ANY CONTENT OR INTERACTIONS ON IT.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE WEBSITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE SIX MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
YOU RELEASE FINDCPA AND ITS REPRESENTATIVES FROM ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE OR YOUR INTERACTIONS WITH OTHERS THROUGH THE WEBSITE, AND YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542 (AND SIMILAR LAWS).
10. Injunctive Relief
You acknowledge that any breach of these Terms may cause us irreparable harm. We are entitled to seek injunctive or other equitable relief without the need to post a bond.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, available on the Website.
12. Copyright Policy
We respect intellectual property rights. If you believe content on the Website infringes your copyright, please send a notice consistent with the Digital Millennium Copyright Act to:

14. Dispute Resolution; Arbitration
Before filing any formal claim, you agree to contact us at info@findcpa.co and attempt to resolve the dispute informally for at least 30 days.
If we cannot resolve the dispute, any claim arising out of or related to these Terms or the Website will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in Superior Court of Santa Clara County. You may only bring claims in your individual capacity and not as part of a class or representative action.
Any claim must be brought within one year after it arises, or it is waived.
15. Miscellaneous
– Entire Agreement. These Terms (together with the Privacy Policy and any other policies linked from the Website) constitute the entire agreement between you and FindCPA.
– Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes not subject to arbitration will be brought exclusively in the state or federal courts located in Santa Clara county.
– Electronic Communications. You consent to receive communications from us electronically. Electronic notices satisfy any legal requirement that communications be in writing.
– Termination. You may stop using the Website at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms.
– Feedback. Any feedback you provide may be used by us freely and without obligation to you.
– No Waiver. Our failure to enforce any provision is not a waiver of that provision.
– Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
